1. Engagement & Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Pulse Prismhub Engineering Advisory Co., Ltd. ("Pulse Prismhub", "we", "us", or "our"), governing your access to and use of the website located at pulse-prismhub.click and all associated programming consulting, architecture blueprinting, performance optimization, and codebase audit services.

By accessing this website or executing an advisory statement of work with Pulse Prismhub, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Scope of Consulting Services

Pulse Prismhub provides professional programming consulting, software architecture advisory, technical due diligence, and system performance evaluations. Specific deliverables, project schedules, and commercial terms are detailed in individual Statements of Work (SOW) or written engagement proposals executed between the parties.

3. Confidentiality & Non-Disclosure

We acknowledge that during the course of an engagement, we may receive access to proprietary client source code, database architectures, credentials, and internal technical documentation. We agree to hold all such information in strict confidence under bilateral Non-Disclosure Agreements (NDAs) and will not disclose, publish, or utilize such materials for any purpose other than fulfilling the contracted advisory scope.

4. Intellectual Property Rights

Client Materials: All pre-existing client software repositories, proprietary schemas, domain models, and trademarks remain the exclusive property of the Client.

Consulting Deliverables: Upon full settlement of invoices for a given milestone or project phase, all custom architecture blueprints, code patches, configuration scripts, and documentation created specifically for the Client become the exclusive intellectual property of the Client. Pulse Prismhub retains ownership of its general pre-existing consulting methodologies, diagnostic tool harnesses, and public domain engineering principles.

5. Fees, Invoicing & Commercial Terms

Fees for our advisory engagements are specified in the applicable Statement of Work or service tier outline. Invoices are payable in New Taiwan Dollars (NT$) or convertible foreign currencies as agreed. Payment terms are net 14 days from the date of invoice unless otherwise specified in writing.

6. Limitation of Liability

To the maximum extent permitted under applicable law, Pulse Prismhub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, production downtime, or commercial opportunities, arising out of or relating to our consulting services. In no event shall our total aggregate liability exceed the total consulting fees paid by the Client to Pulse Prismhub under the specific Statement of Work giving rise to the claim during the three (3) months preceding the event.

7. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law provisions. Both parties consent to the exclusive jurisdiction of the Taiwan New Taipei District Court for the resolution of any legal proceedings arising hereunder.
